These Terms and Conditions govern the sale and supply of goods by S Riley Fabrications ("we", "us", "our", "the Seller") to the purchasing party ("you", "the Buyer"). By placing an order you agree to be bound by these terms. These terms supersede any terms contained in a purchase order or other document issued by the Buyer unless expressly agreed otherwise in writing by us.

All orders are subject to acceptance by us. An order is not accepted until we issue a written order acknowledgement or dispatch confirmation. We reserve the right to decline any order without providing a reason. Quotations are valid for 30 days from the date of issue unless otherwise stated and do not constitute an offer.
All prices are quoted in GBP and are exclusive of VAT unless otherwise stated. VAT will be charged at the prevailing UK rate. Prices are subject to change without notice prior to order acceptance. For account customers, payment is due within 30 days of invoice date unless alternative terms have been agreed in writing. We reserve the right to charge statutory interest on overdue amounts at 8% above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
Delivery dates are estimates only and time is not of the essence. We will use reasonable endeavours to meet quoted lead times but accept no liability for delays caused by circumstances beyond our control, including but not limited to raw material availability, transport disruption, or force majeure events. Risk in goods passes to the Buyer upon delivery. Title passes upon receipt of full payment.
Delivery charges are as quoted at the time of order or on our current price list. The Buyer is responsible for ensuring a suitable delivery address is provided and that someone is available to receive goods.
All performance figures, temperature ratings, and technical data are provided in good faith and are representative of standard production. They do not constitute a warranty of fitness for any particular purpose. The Buyer is responsible for satisfying themselves that the product is suitable for their application before ordering. Where the application is safety-critical, the Buyer must conduct independent verification and testing.
We reserve the right to make minor changes to specifications, materials, or dimensions without notice, provided such changes do not materially affect product performance.
Orders for products manufactured to custom specifications, non-standard lengths, or special colours are non-cancellable once production has commenced, and are non-returnable except in the case of manufacturing defect. Full payment or a deposit may be required before production begins. Custom orders may have longer lead times — these will be agreed at the time of order.
We warrant that goods supplied will be free from material defects in materials and workmanship at the time of delivery. This warranty does not cover defects arising from: improper installation; use outside stated temperature or environmental limits; mechanical damage after delivery; or modification by the Buyer.
Claims for defective goods must be made in writing within 14 days of delivery. Our liability for defective goods is limited, at our discretion, to replacement, repair, or refund of the purchase price. We accept no liability for consequential loss.
To the fullest extent permitted by law, our total liability to you in connection with any order shall not exceed the value of that order. We exclude liability for any indirect, consequential, or special loss, including loss of profit, loss of production, or loss of contract. Nothing in these terms excludes liability for death or personal injury caused by our negligence, or for fraudulent misrepresentation.
All drawings, specifications, technical data, and product designs provided by us remain our intellectual property and may not be reproduced or shared without our written consent. Where we produce goods to the Buyer's design or specification, the Buyer warrants that this does not infringe any third-party intellectual property rights and agrees to indemnify us against any resulting claims.
These terms and any dispute arising from them shall be governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
These terms, together with any written quotation or order acknowledgement, constitute the entire agreement between the parties. No variation to these terms shall be effective unless agreed in writing and signed by an authorised representative of S Riley Fabrications.
